Maunify, S.A.P.I. de C.V.

This contract describes the general terms and conditions (hereinafter, the "Terms and Conditions") that govern the use of the set of digital media made available to users (hereinafter, the "Users") by the company named Maunify, S.A.P.I. de C.V. (hereinafter, the "Holder"), through the Platform located at: https://mauna.mx and https://hub.mauna.mx/ (hereinafter, the "Platform"). The Platform is called "Mauna" and can be accessed through any internet browser. Any person wishing to access or use the Platform and/or any of the Services offered therein (as defined further below) may do so subject to these Terms and Conditions.
1. General Data of the Holder
Maunify, S.A.P.I. de C.V. is a legally constituted and validly existing company under the laws of the United Mexican States, fully authorized in accordance with its corporate purpose to provide the services detailed in these Terms and Conditions.
The current Terms and Conditions are directed at customers of Maunify, S.A.P.I. de C.V. who use the Platform, and/or any other extension of the platform, owned by Maunify, S.A.P.I. de C.V.
2. Definitions.
Privacy Notice: Refers to the privacy notice of Mauna, drafted in terms of Article 28 of the Federal Law on Protection of Personal Data Held by Private Parties and Article Thirty-Eighth of the Guidelines of the Privacy Notice, by which the User expressly grants or denies consent for the processing of their personal data.
Buyer. Refers to any User who uses the Platform to purchase one or more Events offered by Sellers.
Account. Refers to the Account created by the User for the use of the Platform.
Event. Refers to any experience, activity, event, or service offered, promoted, or marketed by the Seller and/or Mauna through the Platform.
Mauna: The company named Maunify, S.A.P.I. de C.V.
Platform: Set of digital media, resources, and tools made available to the User to facilitate the promotion, acquisition, and management of Events, in accordance with these Terms and Conditions.
Parties: Refers jointly to Mauna and the User.
Stripe: Payment processing platform used by Mauna and Users to carry out transactions related to the purchase and marketing of Events.
Services. Refers to the services provided by Mauna in accordance with Clause Fourth of these Terms and Conditions.
User: Refers to any individual or legal entity wishing to acquire rights and obligations with Mauna, arising from contracting any of the following Services: (i) the use of the Platform to acquire Events provided by Users; (ii) the use of the Platform to promote their Events to Users of the Platform, including but not limited to, Buyers and Sellers.
Seller. Refers to any User who uses the Platform to promote, offer, and/or market Events through it.
Validity: It will have the meaning indicated in point 9 of these Terms and Conditions.
3. Acceptance of Terms and Conditions.
Access and/or use of the Platform, and/or any other extension of the platform owned by Mauna, implies acceptance by the User (as defined herein) of all the clauses and policies established in these Terms and Conditions. Likewise, by using the Platform, the User will be communicating with Mauna through electronic means, so they accept to receive communication in this manner using various mechanisms such as: email, notices, phone calls, SMS[EG2] , WhatsApp (software made available by WhatsApp, LLC, hereinafter referred to as "WhatsApp"), as well as any other platform belonging to Meta Platforms, Inc., including but not limited to, Facebook and Instagram; by virtue of the above, the User recognizes that forms, contracts, notices, messages, as well as any type of notification and/or communication sent via electronic means satisfy any legal requirement and hold full legal effects and validity.
Any person who does not accept these Terms and Conditions, which are mandatory and binding, must refrain from using the Platform, and/or any other extension of the platform owned by Mauna.
4. Services
4.1. Offering of Mauna's Services. Mauna makes available to Users a range of services through its Platform, which includes, but is not limited to:
a) Sale and Reservation of Events. Users can purchase or reserve Events offered by registered Sellers on the Platform.
b) Quotation and Sale of Private Events. Specialized service for quoting, customizing, and managing the sale of Events designed exclusively for private groups, adjusting to the specific needs of the Buyer.
c) Complementary Services. (Exclusive for Sellers)
- Digital Marketing and Promotion: Tools and strategies to increase the visibility of Events.
- Photography and Video Services: Content capture to enhance the promotion of Events.
- Personalized Consulting: Specialized advice for planning, executing, and optimizing Events.
d) Payment and Collection Management. Processing of secure and transparent payments through Stripe.
e) Calendar and Availability Management. (Exclusive for Sellers) Tools to manage available dates and times, including opening dates for general public or private groups.
f) Sales Tracking and Analysis. Dashboard and reports that allow Sellers to monitor the performance of their Events on the Platform.
g) Promotions and Discounts. (Exclusive for Sellers) Setting up special offers, promotional codes, and dynamic pricing to increase Event reservations.
4.1.1. Exclusive Services for Sellers. Some of Mauna's services are available only for registered Sellers on the Platform, such as Sales Tracking and Analysis, Promotions and Discounts, and Calendar and Availability Management.
4.2. Scope of the Services. Mauna acts solely as a digital intermediary, facilitating interaction between Users (Buyers and Sellers) for the contracting of the aforementioned services.
4.3. Limitations of Liability. Mauna acts exclusively as a intermediary platform to facilitate interaction between Users (Buyers and Sellers) for the purpose of promoting, marketing, and managing Events. By virtue of this function, Mauna assumes no responsibility nor provides guarantees regarding the quality, suitability, or execution of the Events offered through the Platform, beyond the proper management of the financial transaction.
4.3.1 Commitment to Quality. Mauna continuously works to maintain high standards in the User experience, including:
a) The review of Seller profiles to ensure they meet the requirements established by the Platform.
b) The promotion of clear and transparent practices in the creation and description of Events.
c) The implementation of policies that aim to resolve conflicts fairly and efficiently.
d) The continuous evaluation of Seller performance to promote constant improvement in the quality of Events offered.
4.3.2 However, Mauna does not guarantee:
a) That the Event meets the specific expectations or needs of the Buyer.
b) Perfect execution, punctuality, or compliance as advertised by the Seller.
c) The quality, safety, or legality of the Events provided by Sellers.
4.3.3 Limited Liability. The User accepts that any issue, non-compliance, or dispute related to an Event should be dealt with directly between the Buyer and the Seller. Mauna shall not be responsible for damages, losses, or expenses related directly or indirectly to the Event, including but not limited to:
a) Cancellations, modifications, or delays in Events.
b) Incorrect or incomplete information provided by the Seller.
c) Damages or losses arising from conditions beyond Mauna's control, such as force majeure, technical failures, or acts of third parties.
In no event shall Mauna be liable for indirect, incidental, special, consequential, or punitive damages, even if it has been advised of the possibility of such damages. In case of proven default related to a transaction on the Platform, Mauna's maximum liability shall be limited to the amount actually paid by the User through the Platform.
4.3.4 Complementary Services. For additional services offered through the Platform, such as marketing, photography, consulting, or space rental:
a) Mauna seeks to ensure that Sellers comply with adequate standards but does not guarantee specific outcomes resulting from these services.
b) Any agreement between the Buyer and the provider of the complementary service will be the sole responsibility of the parties involved.
4.3.5. Building Trust. Although Mauna cannot guarantee the suitability of the Events or Services, we are committed to:
a) Providing a reliable Platform that facilitates transparency and trust among Users.
b) Establishing and monitoring policies that promote good practices among Sellers.
c) Assisting Users in resolving disputes in a fair and reasonable manner. Mauna offers a dedicated channel for dispute resolution, including mediation between Buyers and Sellers when necessary, always seeking a reasonable solution for both parties.
5. Operation of the Platform.
5.1. Event Reservation.
The process of reserving an Event on the Platform is designed to be intuitive and efficient, providing Buyers with an interactive dashboard with various search options and personalized filters. The following are the steps to complete a reservation:
(a) Event Search. The Buyer can explore the Events available on the Platform using filters such as categories, number of participants, price of the Event, or type of date (open to the public or reserved for private groups).
(b) Event Selection. Once an Event of interest is identified, the Buyer must select it to access a page with detailed information provided exclusively by the Seller, including, but not limited to: (i) General description of the Event; (ii) Included services and products; (iii) Detailed itinerary; (iv) General recommendations; (v) Important considerations for participants; (vi) Location and specific directions of the Event venue.
Mauna is not responsible for the accuracy of this information, as its content is the sole responsibility of the Seller.
(c) Event Reservation. To complete a reservation, the Buyer must: (i) Select the desired package (if applicable); (ii) Choose the date and time of the Event, subject to availability based on the calendar displayed on the Platform; (iii) Indicate the number of participants; (iv) Proceed to payment and accept the Terms and Conditions of the Platform.
Upon completion of the process, the Buyer will receive a confirmation email with a summary of the purchase and details of the reserved Event.
(d) Communication Regarding Event. The Buyer acknowledges that Mauna acts solely as an intermediary and has no direct involvement in the development or execution of the Event. For any questions, clarifications, or claims related to the Event, the Buyer must contact the Seller directly through the means provided on the Platform.
(e) Acceptance of Seller's Terms and Conditions. By acquiring an Event, the Buyer accepts the terms and conditions established by the Seller. In case of contradictions between the Seller's terms and Mauna's Terms and Conditions, Mauna's terms shall prevail, except for the Seller's cancellation policy.
5.2. Sale of Events.
To enable Users to create and publish Events through the Platform, Mauna offers a Seller Account, which provides access to comprehensive tools for creating, managing, and monitoring Events, as well as tracking sales and accounting. The details of the process are as follows:
a) Creation of Seller Account.
The Seller must (i) Log in to the Platform and select the option "Sell experiences on Mauna". (ii) Request a demonstration call and choose the plan most suitable for their Events. (iii) Complete the registration form with the required information (iv) Accept Mauna's Terms and Conditions.
The authorization of the Seller account will be subject to review by the Mauna team.
(b) Plans. The plans available for Sellers offer different functionalities as established in Section 6.2.1. The plans and associated benefits may be modified by Mauna at any time, and changes will be notified through the Platform.
(c) Event Creation. Sellers can use tools in the Seller Dashboard to create and publish Events. To do this, they must: First, go to the “Experiences” section and select “+”. Second, include but not limited to: (i) Event Name; (ii) Category; (iii) Prices and Packages; (iv) General Description; (v) Itinerary; (vi) Requirements; and (vii) Location of the Event. Finally, send the Event to the Mauna team for review and approval.
Mauna may request adjustments or feedback before approving an Event to ensure it meets the Platform's standards.
(d) Mauna Approval. Mauna reserves the exclusive right to approve or reject the creation of the Seller Account and/or the publication of an Event. These decisions are unappealable and are made based on quality, alignment with the Platform's standards, and other internal criteria. Mauna also reserves the right to close accounts or remove Events without prior notice if they do not comply with the Platform's policies, even when previously approved.
(e) Payments. To receive payments resulting from the sale of Events, the Seller must register an account with Stripe, the payment processing system used by Mauna. Mauna is not responsible for technical issues, delays, or mistakes arising from the use of Stripe.
(f) Seller's Terms and Conditions. The Seller may publish specific terms and conditions for their Events, which must be included in the Event description. These terms may not contradict Mauna's Terms and Conditions, which will prevail in case of conflict, except for the Seller's cancellation policy.
In case of omission, Mauna's Terms and Conditions will apply without liability for the Platform or for Buyers.
6. Consideration.
6.1. Event Reservation.
If the User wishes to access and/or acquire any Event published on Mauna's Platform, they must pay the corresponding consideration as follows:
a) Price. The price that the Buyer must pay for each Event published on the Platform will be the one established by the Seller at the time of making the reservation, in accordance with Clause 5.1 of these Terms and Conditions.
The price of each Event will be variable at the Seller's discretion, considering factors such as the type of Event, season, market conditions, demand, selected package, type of Event (public or private), and availability.
All prices published on the Platform must include Value Added Tax (VAT). It is the Seller's sole responsibility to correctly configure the prices and ensure they comply with applicable tax provisions.
b) Payment Method and Place. Payment for the acquisition of an Event must be made exclusively through the Platform, which uses Stripe as the payment processing system. The Buyer must provide the required information for the payment method accepted by Mauna.
- Accepted payment methods: Visa, Mastercard, American Express, Apple Pay, and Google Pay credit or debit cards.
- Optionally, Mauna may accept payments via electronic transfer (SPEI), upon request by the Buyer and approval of Mauna.
Payment will be subject to verification and authorization by the issuing entity of the payment method. If not approved, Mauna and/or the Seller will not be responsible for the failure to provide the Event. Additionally, Mauna will not be responsible for technical errors, delays, or failures related to Stripe or other payment processors.
c) Payment Timing. The Buyer must make the full payment at the time of the reservation. Event confirmation will only take place after payment has been processed and approved.
d) Secured Payment. Mauna will hold the payments made by the Buyer until the Event has been completed, in accordance with the Platform's policies. Once the Event is completed, payment will be released to the Seller under the terms specified in Section 6.2.
e) Discount Codes. Mauna and/or Sellers may provide discount codes at their discretion. Codes will only be valid during the specified period and must be used according to the instructions provided.
Discounts are not cumulative unless otherwise stated.
Mauna reserves the right to establish additional restrictions for the use of discount codes.
The application of discounts is at Mauna's exclusive discretion and is not obligated to grant them under any circumstances.
6.2. Sale of Events.
6.2.1. Seller Plan.
For the Seller to access the event sale services through the Platform, they must subscribe to one of the plans offered by Mauna.
The details of the available plans, including prices, features, and conditions, will be published on the Platform (https://hub.mauna.mx/planes/) and may be consulted by Users at any time. The plans are subject to change, which will be notified to Users through the Platform.
General Conditions:
a) Automatic Renewal: Plans will automatically renew at the end of the corresponding period, unless the Seller requests cancellation of the plan before the renewal date.
b) Plan Cancellation: To cancel a plan, the Seller must send a request to the email contacto@mauna.mx before the end of the current period. Cancellation will be effective at the end of the current period.
c) Processing Fees: Plans may be subject to additional processing fees applicable to transactions made on the Platform. These fees will be published on the Platform, and the Seller must review and accept them when using the services.
d) VAT Included: The prices published on the Platform include Value Added Tax (VAT), as stipulated by current legislation.
Modifications to the Plans:
Mauna reserves the right to modify the prices, characteristics, or conditions of the plans at any time. Any change will be communicated through the Platform and will be considered accepted upon continuing to use the corresponding services.
6.2.2 Payments to Sellers. Mauna will process payment of the corresponding consideration to Sellers only after the Event has been carried out in a timely and proper manner, and in accordance with the Platform's policies.
Conditions for Release of Payments:
a) The Event must have been successfully completed as agreed between the Seller and the Buyer.
b) There must be no open dispute related to the Event in question.
c) The Seller must comply with the requirements established for invoicing and documentation, if applicable.
The timelines for the release of payment will be specified on the Platform and may vary according to the plan contracted by the Seller.
6.2.3 Payment Method and Place. Payments to Sellers for income obtained from the sale of Events will be made via electronic transfer to the Stripe account registered by the Seller at the time of creating their Seller Account.
If an invoice is required or if the Buyer has made payment by bank transfer, Mauna may make payments to the Seller by direct bank transfer, provided the Seller provides a valid bank account and the required information.
General Conditions for Payments:
a) All payments will be subject to deductions corresponding to processing fees and commissions, as specified on the Platform.
b) Mauna is not responsible for delays or errors resulting from incorrect information provided by the Seller or technical problems with Stripe or other banking entities.
c) Sellers are responsible for ensuring their Stripe or bank accounts are active and meet the necessary requirements to receive payments.
6.2.4. Payment Processing Fees. The Seller agrees and acknowledges that processing fees and commissions corresponding to the contracted plan will be applied to each transaction made through Mauna. These fees are published on the Platform and are applicable at the time of the transaction.
The total gross amount received from the sale of an Event will be subject to the deduction of such fees and commissions, which will be deducted before Mauna makes payment to the Seller via Stripe or any other agreed method.
Mauna is not responsible for discrepancies in the fees applied resulting from errors in the Seller's plan configuration or changes in fees from external payment processors. It is the responsibility of the Seller to periodically review the applicable fees on the Platform.
6.3. Invoicing. The User may request the issuance of invoices related to payments made, for which they must send a written request to contacto@mauna.mx, providing complete tax information and any other required data.
Conditions for Invoicing:
a) Invoices will be sent to the email registered by the User within a maximum period of 7 (seven) business days following receipt of the request.
b) The invoicing period will be limited to the month in which the payment was made. No retroactive invoices will be issued outside this period.
c) It is the responsibility of the User to provide correct and updated tax information. Mauna will not be responsible for errors arising from incorrect information provided by the User.
6.4. Price Changes. The User agrees and acknowledges that the considerations for the services, as well as the fees and commissions established in Clause 6.2, will be those published on the Platform at the time of the corresponding contracting or transaction.
Conditions for Price Modifications:
a) Prices and fees may be modified during the validity of the contracting or provision of the service.
b) Mauna will notify the User of any price changes through the means available on the Platform.
c) The User accepts that it is their responsibility to review the current prices and fees at the time of making a transaction.
Validity of Changes:
Any change in prices or fees will take effect from its publication on the Platform, unless a different date is indicated in the notification. Continued use of the services by the User will imply acceptance of such changes.
7. Availability.
The acquisition of Events made available to the User through the Platform is subject to availability and existence of available spaces.
If the acquired Event is not available, the Seller reserves the right to carry out the cancellation of such purchase through the Platform, as well as to refund to the User the amounts made as charges for the Event.
The Buyer accepts and acknowledges that any discount and/or price reduction regarding the contracted Event, that comes into effect at a later time than that of their contracting, will not be applied retroactively.
Furthermore, the Buyer accepts and acknowledges that Mauna will not be responsible for any additional charges generated by the applicable exchange rate at the time of the purchase, as well as for any fee and/or commission imposed by any intermediary in the payment process.
8. Cancellation and Refund Policies.
The User accepts and acknowledges that all reservations made through the Platform will be subject to the cancellation and refund policies established by the Seller, as follows:
8.1. Seller's Cancellation and Refund Policies.
The Seller may establish clear and precise cancellation and refund policies, which must include at least:
a) Specific deadlines for requesting cancellations and refunds.
b) Refund percentages applicable depending on the timing of the cancellation.
c) Conditions for no-show or late cancellations.
The Seller's policies must be published visibly in the Event description and the Seller will be obliged to comply with them once the Buyer accepts them at the time of making the reservation.
8.2. Mauna's Default Policy.
If the Seller does not publish specific cancellation and refund policies, Mauna's default policy will apply:
a) Cancellations made at least 48 (forty-eight) hours in advance of the date and time of the Event will be eligible for a refund of up to 100% (one hundred percent) of the consideration effectively paid by the Buyer.
b) Cancellations made with less than 48 (forty-eight) hours' notice will be evaluated on a case-by-case basis to determine whether they are eligible for a full, partial, or no refund.
c) In case of no-show or cancellation without notice, no refund will be granted.
8.3. Procedure for Cancellations and Refunds.
a) The Buyer must send the cancellation or refund request to the email contacto@mauna.mx or to the email provided by the Seller, including the reason for the cancellation and any additional information required.
b) Approved refunds will be managed by Mauna through the Platform and will be made using the same method of payment used for the reservation, within a period of 5 business days.
8.4. Force Majeure and Exceptions.
If the Event cannot be held due to force majeure circumstances (e.g., adverse weather conditions, natural disasters, government emergencies) or unforeseen interruptions, the Buyer may choose to:
a) Reschedule the Event for a later date agreed upon with the Seller.
b) Request a partial or total refund, depending on the case and at Mauna's discretion.
8.5. Exclusion of Mauna's Liability.
Mauna acts solely as an intermediary and shall not be responsible for the execution of the Event or for refunds that the Seller does not comply with, unless the Seller's default policy applies.
9. Use of the Account.
To sell Events on the Platform, the User must register and keep an Account active, for which they must provide personal information as required; such information will be used under the terms of these Terms and Conditions. In this regard, the User recognizes and accepts that, for the use of the Platform, they are solely responsible for the information provided and operations of the Account, such that Maunify will not be liable for the accuracy of the information or operations that occur in the Account, and Mauna shall not be liable in any way for the marketing of Events and the use of the system in the event that the User provides incorrect, false, incomplete, or outdated information. The User agrees to keep securely and confidentially the username and password of their Account, and in no event shall Mauna be responsible for the use of the username and password of the Account; therefore, the User shall be responsible for the proper use of the Account and must therefore compensate Mauna for any damage, loss, expense, or cost arising from the misuse of the Account.
Mauna will not be liable in any way if the User provides the required personal data for the provision of the Services or contracts them is not the holder thereof, nor for any improper use of the Platform or the Services by the User.
Mauna reserves the right to refuse any Account request, cancel or suspend an Account, without being obliged to communicate the reasons for doing so and without creating any liability for Mauna.
Users under 18 years of age may use Maunify only with the participation and involvement of one of their parents or guardians, who will act as legal representatives of these, being responsible for any obligation and/or commitment acquired with Mauna.
10. Validity.
The provisions of these Terms and Conditions will remain in effect as long as the User uses the Platform, and/or any other extension of the platform owned by Mauna and/or during the period in which the User has an active Account.
Mauna may terminate access to the Platform and/or the User's Account and these Terms and Conditions concerning any User at any time unilaterally, without liability for Mauna.
11. Platform Failures.
Mauna is not responsible for any damage, loss, or injury to the User that may arise from failures in the Platform, the server, or the Internet. Mauna will also not be responsible for any virus that may infect the User's equipment as a consequence of accessing or using its website or arising from any transfer of data, files, images, texts, or audio contained therein. The User may not claim any liability from Mauna or demand any payment for damages, losses, or injuries resulting from technical difficulties or Platform failures of Mauna or on the Internet. Mauna does not guarantee continued or uninterrupted access and use of the Platform, as it may eventually not be available due to technical difficulties, Internet failures, maintenance, or for reasons beyond Mauna; in such cases, efforts will be made to restore it as quickly as possible, without any type of liability to Mauna. Similarly, Mauna will not be responsible for any errors or omissions contained in the Platform.
The Platform may contain links to third-party websites. In such cases, Mauna will not be responsible in any way for the content, products, services, advertisements, or other information that may be provided by or through such sites or advertisements, nor for their privacy policies or their compliance with applicable legal provisions.
Mauna shall not be liable for any failure in the Platform, arising from non-compliance with operating systems, lack of internet access, or the User not implementing the necessary updates.
If there is a failure or malfunction in the Platform, whether attributable to Mauna or not, the User must notify Mauna of such failure so that it may make the necessary modifications to resolve such failure or malfunction.
12. Questions, Suggestions, and Claims.
If the User has any questions, suggestions, or claims regarding the Services offered by Mauna, they may communicate it to their assigned advisor via the WhatsApp messaging service or to the following email account contacto@mauna.mx.
13. Termination.
Mauna may cease to offer the Services or deny access to them and even terminate any provisions set forth in these Terms and Conditions at any time without liability for Mauna. Upon termination, the User must cease to use the Platform.
Notwithstanding the foregoing, the termination of the Terms and Conditions will not affect the rights and obligations arising before the termination date.
Mauna may terminate these Terms and Conditions and restrict the use of the Platform by the User if the User fails to comply with any of the obligations set forth in these Terms and Conditions.
14. Indemnification.
The User agrees and undertakes to indemnify and hold Mauna harmless from any claim that may be made against it due to or in connection with the use of the Platform. As a result of the above, the User agrees to indemnify and exempt Mauna (including, but not limited to its respective shareholders, directors, managers, officers, representatives, agents, and employees) from any claim or demand (including attorneys' fees and legal costs), undertaking to compensate Mauna for any amounts incurred by these concepts.
15. Relationship.
Nothing in these Terms and Conditions shall constitute any kind of partnership, association, commercial commission, or labor relationship between Mauna and the User.
16. Limitation of Liability.
By accepting these Terms and Conditions, the User, whether Seller or Buyer, releases Mauna from any liability incurred during the execution of the Event, in accordance with the following:
a. The User on their own behalf and on behalf of the rest of the participants, accepts and acknowledges that Mauna only provides the Users with the Platform to have access to the Services, therefore it will not be responsible and in no case guarantees the content, quality, quantity, state, safety, suitability, integrity, or legitimacy of the Events. Consequently, Mauna will not be liable for any damage, loss, or injury related to the quality, integrity, legitimacy, or any other analogous cause of the Events.
b. The User must provide the Seller with all relevant medical and health information regarding themselves as well as the people who will participate in the Event at the time of making the reservation. Likewise, if they have any medical conditions, illness, pregnancy, disability, or any other physical or mental condition affecting their ability to travel or participate in any Event, they must inform the Seller before the start of the Event.
If the above is not notified, Mauna shall not be responsible, and both Mauna and the Seller reserve the right to deny their participation or cancel the reservation without any liability or obligation to refund.
Mauna informs the User that the Events offered may not be suitable for certain individuals, depending on various factors such as age, physical or psychological condition, mobility, disability, pregnancy, and/or any other condition, so it is the User's responsibility to review the itinerary and description of the Event, as well as to make any necessary inquiries with the Seller to assess their participation.
None of the provisions of these Terms and Conditions shall be interpreted as an obligation of Mauna to provide the Services, but rather Mauna will provide the Services as it sees fit.
c. Mauna will not be responsible for ensuring the availability of medical and/or emergency services at each location, so it is the User's responsibility to check their location and the services available near the corresponding location.
The Parties agree that contracting Events in no case includes the hiring of medical insurance, so it is the responsibility of the User and/or participants to arrange medical insurance if they deem it appropriate.
Mauna recommends that all participants consult their doctor, health personnel, and/or insurer before attending the Event.
Mauna shall not be responsible for any additional costs and/or expenses related to transportation, medical care, and treatment arising from any accidents suffered during the Events, therefore the User and/or participants assume total responsibility for such expenditures.
d. If the Event selected by the User corresponds to more than one participant, the Parties agree that the User shall be responsible for any damage and/or injury caused by and/or to such participants during the execution of the Event.
As a result of the above, it is the User's responsibility to provide all relevant information to the Seller regarding the individuals participating in the Event.
e. Mauna recommends that Sellers, if the Event entails any type of risk in its execution, provide all participants with a release of liability letter, via digital and/or physical means, which must be signed with name and signature by each of the participants. The User and/or participants agree and acknowledge that they will not be able to participate in the Events for any reason without having previously signed the release of liability letter if the Seller requests it.
f. Mauna will not be responsible for reserving any type of transportation for the Users, whether inbound or outbound to the Event destination. If the Seller offers such service as part of the Event, it will be the Seller's responsibility to arrange such reservations, releasing Mauna from any liability.
g. Mauna will not be responsible for any expense, cost, damage, or injury caused to the User and/or participants if they decide to leave the Event underway at their own risk.
h. The User and participants release Mauna from liability in case of any damage or injury caused by any third party with whom the Seller collaborates during the Event.
i. Mauna will not be responsible if additional costs and expenses are generated for the User and participants arising from participant delays that result in inefficiencies in any other service, arising from strikes, accidents, illnesses, damages, negligence, bad weather, war, and/or changes in itineraries.
j. The User releases Mauna from any liability arising from any type of non-compliance by the Seller in the execution of the Event.
k. Mauna will not be liable for any accidents or deaths directly or indirectly arising from the negligence of any of the participants, Users, or Sellers, or any act of third parties, or by fortuitous events or force majeure.
l. The User and/or Participant agrees to indemnify and hold Mauna harmless from any claims that may arise against it due to or in connection with any action or omission made by the Buyer, Seller, any User, and/or participant, including any non-compliance with these Terms and Conditions. As a result of the above, the User agrees to indemnify and exempt Mauna (including, but not limited to its respective shareholders, directors, managers, officers, representatives, agents, and employees) from any claim or demand (including attorneys' fees and legal costs), undertaking to compensate Mauna for any amounts incurred by these concepts.
17. Prohibitions.
a. False, Erroneous, and/or Misleading Information. Users accept and undertake to provide accurate, truthful, and non-misleading information regarding the Events marketed through the Platform. The publication of false, erroneous, or misleading information is strictly prohibited, including, but not limited to: (i) Descriptions of the Events; (ii) Rates and costs; (iii) Services included in the Event; (iv) Capacities and capabilities; (v) Location and availability.
b. Legality. Users expressly accept and acknowledge that the creation, promotion or provision of Events involving any type of illegal activity in any form is strictly prohibited. "Illegal" shall include all activities that violate local, national, or international laws, including, but not limited to: (i) Criminal activities; (ii) Violation of copyright and/or intellectual property rights; (iii) Explicit or illegal content; (iv) Drugs and controlled substances; (v) Discrimination and/or any hate speech.
Failure to comply with the aforementioned paragraphs may result in the temporary or permanent suspension of the User's account as well as the immediate termination of access to the Platform, at Mauna's discretion. Likewise, Mauna reserves the right to take any legal actions it deems appropriate against the User.
18. Intellectual Property.
The Platform and all rights related to it are the exclusive property of Mauna. No provision set forth in the Terms and Conditions, nor the use of the Platform grants or transfers any right over or in relation to the Platform.
All intellectual property rights related to the Services, including but not limited to, all patents, utility models, industrial designs, trademarks, trade notices, trade names, copyrights, trade secrets, know-how, technology, or any application for the registration of any of the above, as well as their registrations, permits, licenses, or any other right arising from the provision of the Services, are and will at all times be the property of Mauna. The Terms and Conditions do not grant the User, in any case, rights over Mauna's Intellectual Property.
The User using the Platform for marketing Events declares and guarantees that they are the legitimate owner of the intellectual property rights over the content provided for the publication of the Events on the Platform, or that they have the necessary rights and authorizations for its use. The User marketing Events grants Mauna a non-exclusive license to use such content for the purpose of promoting and selling the Events on the Platform.
19. Confidentiality.
All information provided by Users will be treated as confidential information and may not be disclosed without the User's consent. This confidentiality obligation will not cease due to the expiration, suspension, termination, or cancellation of these Terms and Conditions.
Access to such information will be granted to those employees, agents, or representatives of the Holder, as well as third parties with whom the Holder has a legal relationship for the fulfillment of obligations under these Terms and Conditions. However, the Holder may provide information upon a well-founded and motivated request from a competent authority.
20. Privacy.
The handling of personal data related to the purchase of Products will be governed by the provisions of the Holder's Privacy Notice, which is available at [*], in compliance with the provisions of the Federal Law on Protection of Personal Data Held by Private Parties, its Regulation, and other applicable legal provisions.
Consent for the processing of sensitive personal data will be obtained upon acceptance of these Terms and Conditions.
If the aforementioned Privacy Notice is not accepted, the User must not use the Platform nor acquire the Products offered there.
21. Modifications.
Mauna may modify the Terms and Conditions at any time, for which Mauna may notify Users through a publication on the Platform or via email about such modifications. Mauna will choose the means of notification to Users at its sole discretion, understanding that notification will be considered made when it is carried out by any of the means indicated in this paragraph. Notwithstanding the above, Mauna may publish the updates or modifications to the Terms and Conditions on the Platform, understanding that the mere use of the Platform implies the express acceptance by the User of any update or modification of the Terms and Conditions.
The last update of the Terms and Conditions occurred on the date indicated at the beginning of these Terms and Conditions.
If the User does not accept the modifications made to these Terms and Conditions, Mauna will cease to provide services to the User immediately.
22. Headings.
The User acknowledges that the headings of each of the clauses of these Terms and Conditions are for reference purposes only and do not affect the meaning or interpretation thereof.
23. Notifications.
All notices and/or communications between the User and the Holder will be in writing and must be sent by email to the following addresses:

24. Jurisdiction and Applicable Law.
For all matters relating to the interpretation and compliance of these Terms and Conditions, the parties hereby submit, expressly and irrevocably, to the applicable laws of the United Mexican States and the jurisdiction of the competent courts of Mexico City, United Mexican States, and waive, expressly and irrevocably, any other jurisdiction that may correspond to them by virtue of their present or future domiciles or for any other reason.

This contract describes the general terms and conditions (hereinafter, the "Terms and Conditions") that govern the use of the set of digital media made available to users (hereinafter, the "Users") by the company named Maunify, S.A.P.I. de C.V. (hereinafter, the "Holder"), through the Platform located at: https://mauna.mx and https://hub.mauna.mx/ (hereinafter, the "Platform"). The Platform is called "Mauna" and can be accessed through any internet browser. Any person wishing to access or use the Platform and/or any of the Services offered therein (as defined further below) may do so subject to these Terms and Conditions.
1. General Data of the Holder
Maunify, S.A.P.I. de C.V. is a legally constituted and validly existing company under the laws of the United Mexican States, fully authorized in accordance with its corporate purpose to provide the services detailed in these Terms and Conditions.
The current Terms and Conditions are directed at customers of Maunify, S.A.P.I. de C.V. who use the Platform, and/or any other extension of the platform, owned by Maunify, S.A.P.I. de C.V.
2. Definitions.
Privacy Notice: Refers to the privacy notice of Mauna, drafted in terms of Article 28 of the Federal Law on Protection of Personal Data Held by Private Parties and Article Thirty-Eighth of the Guidelines of the Privacy Notice, by which the User expressly grants or denies consent for the processing of their personal data.
Buyer. Refers to any User who uses the Platform to purchase one or more Events offered by Sellers.
Account. Refers to the Account created by the User for the use of the Platform.
Event. Refers to any experience, activity, event, or service offered, promoted, or marketed by the Seller and/or Mauna through the Platform.
Mauna: The company named Maunify, S.A.P.I. de C.V.
Platform: Set of digital media, resources, and tools made available to the User to facilitate the promotion, acquisition, and management of Events, in accordance with these Terms and Conditions.
Parties: Refers jointly to Mauna and the User.
Stripe: Payment processing platform used by Mauna and Users to carry out transactions related to the purchase and marketing of Events.
Services. Refers to the services provided by Mauna in accordance with Clause Fourth of these Terms and Conditions.
User: Refers to any individual or legal entity wishing to acquire rights and obligations with Mauna, arising from contracting any of the following Services: (i) the use of the Platform to acquire Events provided by Users; (ii) the use of the Platform to promote their Events to Users of the Platform, including but not limited to, Buyers and Sellers.
Seller. Refers to any User who uses the Platform to promote, offer, and/or market Events through it.
Validity: It will have the meaning indicated in point 9 of these Terms and Conditions.
3. Acceptance of Terms and Conditions.
Access and/or use of the Platform, and/or any other extension of the platform owned by Mauna, implies acceptance by the User (as defined herein) of all the clauses and policies established in these Terms and Conditions. Likewise, by using the Platform, the User will be communicating with Mauna through electronic means, so they accept to receive communication in this manner using various mechanisms such as: email, notices, phone calls, SMS[EG2] , WhatsApp (software made available by WhatsApp, LLC, hereinafter referred to as "WhatsApp"), as well as any other platform belonging to Meta Platforms, Inc., including but not limited to, Facebook and Instagram; by virtue of the above, the User recognizes that forms, contracts, notices, messages, as well as any type of notification and/or communication sent via electronic means satisfy any legal requirement and hold full legal effects and validity.
Any person who does not accept these Terms and Conditions, which are mandatory and binding, must refrain from using the Platform, and/or any other extension of the platform owned by Mauna.
4. Services
4.1. Offering of Mauna's Services. Mauna makes available to Users a range of services through its Platform, which includes, but is not limited to:
a) Sale and Reservation of Events. Users can purchase or reserve Events offered by registered Sellers on the Platform.
b) Quotation and Sale of Private Events. Specialized service for quoting, customizing, and managing the sale of Events designed exclusively for private groups, adjusting to the specific needs of the Buyer.
c) Complementary Services. (Exclusive for Sellers)
- Digital Marketing and Promotion: Tools and strategies to increase the visibility of Events.
- Photography and Video Services: Content capture to enhance the promotion of Events.
- Personalized Consulting: Specialized advice for planning, executing, and optimizing Events.
d) Payment and Collection Management. Processing of secure and transparent payments through Stripe.
e) Calendar and Availability Management. (Exclusive for Sellers) Tools to manage available dates and times, including opening dates for general public or private groups.
f) Sales Tracking and Analysis. Dashboard and reports that allow Sellers to monitor the performance of their Events on the Platform.
g) Promotions and Discounts. (Exclusive for Sellers) Setting up special offers, promotional codes, and dynamic pricing to increase Event reservations.
4.1.1. Exclusive Services for Sellers. Some of Mauna's services are available only for registered Sellers on the Platform, such as Sales Tracking and Analysis, Promotions and Discounts, and Calendar and Availability Management.
4.2. Scope of the Services. Mauna acts solely as a digital intermediary, facilitating interaction between Users (Buyers and Sellers) for the contracting of the aforementioned services.
4.3. Limitations of Liability. Mauna acts exclusively as a intermediary platform to facilitate interaction between Users (Buyers and Sellers) for the purpose of promoting, marketing, and managing Events. By virtue of this function, Mauna assumes no responsibility nor provides guarantees regarding the quality, suitability, or execution of the Events offered through the Platform, beyond the proper management of the financial transaction.
4.3.1 Commitment to Quality. Mauna continuously works to maintain high standards in the User experience, including:
a) The review of Seller profiles to ensure they meet the requirements established by the Platform.
b) The promotion of clear and transparent practices in the creation and description of Events.
c) The implementation of policies that aim to resolve conflicts fairly and efficiently.
d) The continuous evaluation of Seller performance to promote constant improvement in the quality of Events offered.
4.3.2 However, Mauna does not guarantee:
a) That the Event meets the specific expectations or needs of the Buyer.
b) Perfect execution, punctuality, or compliance as advertised by the Seller.
c) The quality, safety, or legality of the Events provided by Sellers.
4.3.3 Limited Liability. The User accepts that any issue, non-compliance, or dispute related to an Event should be dealt with directly between the Buyer and the Seller. Mauna shall not be responsible for damages, losses, or expenses related directly or indirectly to the Event, including but not limited to:
a) Cancellations, modifications, or delays in Events.
b) Incorrect or incomplete information provided by the Seller.
c) Damages or losses arising from conditions beyond Mauna's control, such as force majeure, technical failures, or acts of third parties.
In no event shall Mauna be liable for indirect, incidental, special, consequential, or punitive damages, even if it has been advised of the possibility of such damages. In case of proven default related to a transaction on the Platform, Mauna's maximum liability shall be limited to the amount actually paid by the User through the Platform.
4.3.4 Complementary Services. For additional services offered through the Platform, such as marketing, photography, consulting, or space rental:
a) Mauna seeks to ensure that Sellers comply with adequate standards but does not guarantee specific outcomes resulting from these services.
b) Any agreement between the Buyer and the provider of the complementary service will be the sole responsibility of the parties involved.
4.3.5. Building Trust. Although Mauna cannot guarantee the suitability of the Events or Services, we are committed to:
a) Providing a reliable Platform that facilitates transparency and trust among Users.
b) Establishing and monitoring policies that promote good practices among Sellers.
c) Assisting Users in resolving disputes in a fair and reasonable manner. Mauna offers a dedicated channel for dispute resolution, including mediation between Buyers and Sellers when necessary, always seeking a reasonable solution for both parties.
5. Operation of the Platform.
5.1. Event Reservation.
The process of reserving an Event on the Platform is designed to be intuitive and efficient, providing Buyers with an interactive dashboard with various search options and personalized filters. The following are the steps to complete a reservation:
(a) Event Search. The Buyer can explore the Events available on the Platform using filters such as categories, number of participants, price of the Event, or type of date (open to the public or reserved for private groups).
(b) Event Selection. Once an Event of interest is identified, the Buyer must select it to access a page with detailed information provided exclusively by the Seller, including, but not limited to: (i) General description of the Event; (ii) Included services and products; (iii) Detailed itinerary; (iv) General recommendations; (v) Important considerations for participants; (vi) Location and specific directions of the Event venue.
Mauna is not responsible for the accuracy of this information, as its content is the sole responsibility of the Seller.
(c) Event Reservation. To complete a reservation, the Buyer must: (i) Select the desired package (if applicable); (ii) Choose the date and time of the Event, subject to availability based on the calendar displayed on the Platform; (iii) Indicate the number of participants; (iv) Proceed to payment and accept the Terms and Conditions of the Platform.
Upon completion of the process, the Buyer will receive a confirmation email with a summary of the purchase and details of the reserved Event.
(d) Communication Regarding Event. The Buyer acknowledges that Mauna acts solely as an intermediary and has no direct involvement in the development or execution of the Event. For any questions, clarifications, or claims related to the Event, the Buyer must contact the Seller directly through the means provided on the Platform.
(e) Acceptance of Seller's Terms and Conditions. By acquiring an Event, the Buyer accepts the terms and conditions established by the Seller. In case of contradictions between the Seller's terms and Mauna's Terms and Conditions, Mauna's terms shall prevail, except for the Seller's cancellation policy.
5.2. Sale of Events.
To enable Users to create and publish Events through the Platform, Mauna offers a Seller Account, which provides access to comprehensive tools for creating, managing, and monitoring Events, as well as tracking sales and accounting. The details of the process are as follows:
a) Creation of Seller Account.
The Seller must (i) Log in to the Platform and select the option "Sell experiences on Mauna". (ii) Request a demonstration call and choose the plan most suitable for their Events. (iii) Complete the registration form with the required information (iv) Accept Mauna's Terms and Conditions.
The authorization of the Seller account will be subject to review by the Mauna team.
(b) Plans. The plans available for Sellers offer different functionalities as established in Section 6.2.1. The plans and associated benefits may be modified by Mauna at any time, and changes will be notified through the Platform.
(c) Event Creation. Sellers can use tools in the Seller Dashboard to create and publish Events. To do this, they must: First, go to the “Experiences” section and select “+”. Second, include but not limited to: (i) Event Name; (ii) Category; (iii) Prices and Packages; (iv) General Description; (v) Itinerary; (vi) Requirements; and (vii) Location of the Event. Finally, send the Event to the Mauna team for review and approval.
Mauna may request adjustments or feedback before approving an Event to ensure it meets the Platform's standards.
(d) Mauna Approval. Mauna reserves the exclusive right to approve or reject the creation of the Seller Account and/or the publication of an Event. These decisions are unappealable and are made based on quality, alignment with the Platform's standards, and other internal criteria. Mauna also reserves the right to close accounts or remove Events without prior notice if they do not comply with the Platform's policies, even when previously approved.
(e) Payments. To receive payments resulting from the sale of Events, the Seller must register an account with Stripe, the payment processing system used by Mauna. Mauna is not responsible for technical issues, delays, or mistakes arising from the use of Stripe.
(f) Seller's Terms and Conditions. The Seller may publish specific terms and conditions for their Events, which must be included in the Event description. These terms may not contradict Mauna's Terms and Conditions, which will prevail in case of conflict, except for the Seller's cancellation policy.
In case of omission, Mauna's Terms and Conditions will apply without liability for the Platform or for Buyers.
6. Consideration.
6.1. Event Reservation.
If the User wishes to access and/or acquire any Event published on Mauna's Platform, they must pay the corresponding consideration as follows:
a) Price. The price that the Buyer must pay for each Event published on the Platform will be the one established by the Seller at the time of making the reservation, in accordance with Clause 5.1 of these Terms and Conditions.
The price of each Event will be variable at the Seller's discretion, considering factors such as the type of Event, season, market conditions, demand, selected package, type of Event (public or private), and availability.
All prices published on the Platform must include Value Added Tax (VAT). It is the Seller's sole responsibility to correctly configure the prices and ensure they comply with applicable tax provisions.
b) Payment Method and Place. Payment for the acquisition of an Event must be made exclusively through the Platform, which uses Stripe as the payment processing system. The Buyer must provide the required information for the payment method accepted by Mauna.
- Accepted payment methods: Visa, Mastercard, American Express, Apple Pay, and Google Pay credit or debit cards.
- Optionally, Mauna may accept payments via electronic transfer (SPEI), upon request by the Buyer and approval of Mauna.
Payment will be subject to verification and authorization by the issuing entity of the payment method. If not approved, Mauna and/or the Seller will not be responsible for the failure to provide the Event. Additionally, Mauna will not be responsible for technical errors, delays, or failures related to Stripe or other payment processors.
c) Payment Timing. The Buyer must make the full payment at the time of the reservation. Event confirmation will only take place after payment has been processed and approved.
d) Secured Payment. Mauna will hold the payments made by the Buyer until the Event has been completed, in accordance with the Platform's policies. Once the Event is completed, payment will be released to the Seller under the terms specified in Section 6.2.
e) Discount Codes. Mauna and/or Sellers may provide discount codes at their discretion. Codes will only be valid during the specified period and must be used according to the instructions provided.
Discounts are not cumulative unless otherwise stated.
Mauna reserves the right to establish additional restrictions for the use of discount codes.
The application of discounts is at Mauna's exclusive discretion and is not obligated to grant them under any circumstances.
6.2. Sale of Events.
6.2.1. Seller Plan.
For the Seller to access the event sale services through the Platform, they must subscribe to one of the plans offered by Mauna.
The details of the available plans, including prices, features, and conditions, will be published on the Platform (https://hub.mauna.mx/planes/) and may be consulted by Users at any time. The plans are subject to change, which will be notified to Users through the Platform.
General Conditions:
a) Automatic Renewal: Plans will automatically renew at the end of the corresponding period, unless the Seller requests cancellation of the plan before the renewal date.
b) Plan Cancellation: To cancel a plan, the Seller must send a request to the email contacto@mauna.mx before the end of the current period. Cancellation will be effective at the end of the current period.
c) Processing Fees: Plans may be subject to additional processing fees applicable to transactions made on the Platform. These fees will be published on the Platform, and the Seller must review and accept them when using the services.
d) VAT Included: The prices published on the Platform include Value Added Tax (VAT), as stipulated by current legislation.
Modifications to the Plans:
Mauna reserves the right to modify the prices, characteristics, or conditions of the plans at any time. Any change will be communicated through the Platform and will be considered accepted upon continuing to use the corresponding services.
6.2.2 Payments to Sellers. Mauna will process payment of the corresponding consideration to Sellers only after the Event has been carried out in a timely and proper manner, and in accordance with the Platform's policies.
Conditions for Release of Payments:
a) The Event must have been successfully completed as agreed between the Seller and the Buyer.
b) There must be no open dispute related to the Event in question.
c) The Seller must comply with the requirements established for invoicing and documentation, if applicable.
The timelines for the release of payment will be specified on the Platform and may vary according to the plan contracted by the Seller.
6.2.3 Payment Method and Place. Payments to Sellers for income obtained from the sale of Events will be made via electronic transfer to the Stripe account registered by the Seller at the time of creating their Seller Account.
If an invoice is required or if the Buyer has made payment by bank transfer, Mauna may make payments to the Seller by direct bank transfer, provided the Seller provides a valid bank account and the required information.
General Conditions for Payments:
a) All payments will be subject to deductions corresponding to processing fees and commissions, as specified on the Platform.
b) Mauna is not responsible for delays or errors resulting from incorrect information provided by the Seller or technical problems with Stripe or other banking entities.
c) Sellers are responsible for ensuring their Stripe or bank accounts are active and meet the necessary requirements to receive payments.
6.2.4. Payment Processing Fees. The Seller agrees and acknowledges that processing fees and commissions corresponding to the contracted plan will be applied to each transaction made through Mauna. These fees are published on the Platform and are applicable at the time of the transaction.
The total gross amount received from the sale of an Event will be subject to the deduction of such fees and commissions, which will be deducted before Mauna makes payment to the Seller via Stripe or any other agreed method.
Mauna is not responsible for discrepancies in the fees applied resulting from errors in the Seller's plan configuration or changes in fees from external payment processors. It is the responsibility of the Seller to periodically review the applicable fees on the Platform.
6.3. Invoicing. The User may request the issuance of invoices related to payments made, for which they must send a written request to contacto@mauna.mx, providing complete tax information and any other required data.
Conditions for Invoicing:
a) Invoices will be sent to the email registered by the User within a maximum period of 7 (seven) business days following receipt of the request.
b) The invoicing period will be limited to the month in which the payment was made. No retroactive invoices will be issued outside this period.
c) It is the responsibility of the User to provide correct and updated tax information. Mauna will not be responsible for errors arising from incorrect information provided by the User.
6.4. Price Changes. The User agrees and acknowledges that the considerations for the services, as well as the fees and commissions established in Clause 6.2, will be those published on the Platform at the time of the corresponding contracting or transaction.
Conditions for Price Modifications:
a) Prices and fees may be modified during the validity of the contracting or provision of the service.
b) Mauna will notify the User of any price changes through the means available on the Platform.
c) The User accepts that it is their responsibility to review the current prices and fees at the time of making a transaction.
Validity of Changes:
Any change in prices or fees will take effect from its publication on the Platform, unless a different date is indicated in the notification. Continued use of the services by the User will imply acceptance of such changes.
7. Availability.
The acquisition of Events made available to the User through the Platform is subject to availability and existence of available spaces.
If the acquired Event is not available, the Seller reserves the right to carry out the cancellation of such purchase through the Platform, as well as to refund to the User the amounts made as charges for the Event.
The Buyer accepts and acknowledges that any discount and/or price reduction regarding the contracted Event, that comes into effect at a later time than that of their contracting, will not be applied retroactively.
Furthermore, the Buyer accepts and acknowledges that Mauna will not be responsible for any additional charges generated by the applicable exchange rate at the time of the purchase, as well as for any fee and/or commission imposed by any intermediary in the payment process.
8. Cancellation and Refund Policies.
The User accepts and acknowledges that all reservations made through the Platform will be subject to the cancellation and refund policies established by the Seller, as follows:
8.1. Seller's Cancellation and Refund Policies.
The Seller may establish clear and precise cancellation and refund policies, which must include at least:
a) Specific deadlines for requesting cancellations and refunds.
b) Refund percentages applicable depending on the timing of the cancellation.
c) Conditions for no-show or late cancellations.
The Seller's policies must be published visibly in the Event description and the Seller will be obliged to comply with them once the Buyer accepts them at the time of making the reservation.
8.2. Mauna's Default Policy.
If the Seller does not publish specific cancellation and refund policies, Mauna's default policy will apply:
a) Cancellations made at least 48 (forty-eight) hours in advance of the date and time of the Event will be eligible for a refund of up to 100% (one hundred percent) of the consideration effectively paid by the Buyer.
b) Cancellations made with less than 48 (forty-eight) hours' notice will be evaluated on a case-by-case basis to determine whether they are eligible for a full, partial, or no refund.
c) In case of no-show or cancellation without notice, no refund will be granted.
8.3. Procedure for Cancellations and Refunds.
a) The Buyer must send the cancellation or refund request to the email contacto@mauna.mx or to the email provided by the Seller, including the reason for the cancellation and any additional information required.
b) Approved refunds will be managed by Mauna through the Platform and will be made using the same method of payment used for the reservation, within a period of 5 business days.
8.4. Force Majeure and Exceptions.
If the Event cannot be held due to force majeure circumstances (e.g., adverse weather conditions, natural disasters, government emergencies) or unforeseen interruptions, the Buyer may choose to:
a) Reschedule the Event for a later date agreed upon with the Seller.
b) Request a partial or total refund, depending on the case and at Mauna's discretion.
8.5. Exclusion of Mauna's Liability.
Mauna acts solely as an intermediary and shall not be responsible for the execution of the Event or for refunds that the Seller does not comply with, unless the Seller's default policy applies.
9. Use of the Account.
To sell Events on the Platform, the User must register and keep an Account active, for which they must provide personal information as required; such information will be used under the terms of these Terms and Conditions. In this regard, the User recognizes and accepts that, for the use of the Platform, they are solely responsible for the information provided and operations of the Account, such that Maunify will not be liable for the accuracy of the information or operations that occur in the Account, and Mauna shall not be liable in any way for the marketing of Events and the use of the system in the event that the User provides incorrect, false, incomplete, or outdated information. The User agrees to keep securely and confidentially the username and password of their Account, and in no event shall Mauna be responsible for the use of the username and password of the Account; therefore, the User shall be responsible for the proper use of the Account and must therefore compensate Mauna for any damage, loss, expense, or cost arising from the misuse of the Account.
Mauna will not be liable in any way if the User provides the required personal data for the provision of the Services or contracts them is not the holder thereof, nor for any improper use of the Platform or the Services by the User.
Mauna reserves the right to refuse any Account request, cancel or suspend an Account, without being obliged to communicate the reasons for doing so and without creating any liability for Mauna.
Users under 18 years of age may use Maunify only with the participation and involvement of one of their parents or guardians, who will act as legal representatives of these, being responsible for any obligation and/or commitment acquired with Mauna.
10. Validity.
The provisions of these Terms and Conditions will remain in effect as long as the User uses the Platform, and/or any other extension of the platform owned by Mauna and/or during the period in which the User has an active Account.
Mauna may terminate access to the Platform and/or the User's Account and these Terms and Conditions concerning any User at any time unilaterally, without liability for Mauna.
11. Platform Failures.
Mauna is not responsible for any damage, loss, or injury to the User that may arise from failures in the Platform, the server, or the Internet. Mauna will also not be responsible for any virus that may infect the User's equipment as a consequence of accessing or using its website or arising from any transfer of data, files, images, texts, or audio contained therein. The User may not claim any liability from Mauna or demand any payment for damages, losses, or injuries resulting from technical difficulties or Platform failures of Mauna or on the Internet. Mauna does not guarantee continued or uninterrupted access and use of the Platform, as it may eventually not be available due to technical difficulties, Internet failures, maintenance, or for reasons beyond Mauna; in such cases, efforts will be made to restore it as quickly as possible, without any type of liability to Mauna. Similarly, Mauna will not be responsible for any errors or omissions contained in the Platform.
The Platform may contain links to third-party websites. In such cases, Mauna will not be responsible in any way for the content, products, services, advertisements, or other information that may be provided by or through such sites or advertisements, nor for their privacy policies or their compliance with applicable legal provisions.
Mauna shall not be liable for any failure in the Platform, arising from non-compliance with operating systems, lack of internet access, or the User not implementing the necessary updates.
If there is a failure or malfunction in the Platform, whether attributable to Mauna or not, the User must notify Mauna of such failure so that it may make the necessary modifications to resolve such failure or malfunction.
12. Questions, Suggestions, and Claims.
If the User has any questions, suggestions, or claims regarding the Services offered by Mauna, they may communicate it to their assigned advisor via the WhatsApp messaging service or to the following email account contacto@mauna.mx.
13. Termination.
Mauna may cease to offer the Services or deny access to them and even terminate any provisions set forth in these Terms and Conditions at any time without liability for Mauna. Upon termination, the User must cease to use the Platform.
Notwithstanding the foregoing, the termination of the Terms and Conditions will not affect the rights and obligations arising before the termination date.
Mauna may terminate these Terms and Conditions and restrict the use of the Platform by the User if the User fails to comply with any of the obligations set forth in these Terms and Conditions.
14. Indemnification.
The User agrees and undertakes to indemnify and hold Mauna harmless from any claim that may be made against it due to or in connection with the use of the Platform. As a result of the above, the User agrees to indemnify and exempt Mauna (including, but not limited to its respective shareholders, directors, managers, officers, representatives, agents, and employees) from any claim or demand (including attorneys' fees and legal costs), undertaking to compensate Mauna for any amounts incurred by these concepts.
15. Relationship.
Nothing in these Terms and Conditions shall constitute any kind of partnership, association, commercial commission, or labor relationship between Mauna and the User.
16. Limitation of Liability.
By accepting these Terms and Conditions, the User, whether Seller or Buyer, releases Mauna from any liability incurred during the execution of the Event, in accordance with the following:
a. The User on their own behalf and on behalf of the rest of the participants, accepts and acknowledges that Mauna only provides the Users with the Platform to have access to the Services, therefore it will not be responsible and in no case guarantees the content, quality, quantity, state, safety, suitability, integrity, or legitimacy of the Events. Consequently, Mauna will not be liable for any damage, loss, or injury related to the quality, integrity, legitimacy, or any other analogous cause of the Events.
b. The User must provide the Seller with all relevant medical and health information regarding themselves as well as the people who will participate in the Event at the time of making the reservation. Likewise, if they have any medical conditions, illness, pregnancy, disability, or any other physical or mental condition affecting their ability to travel or participate in any Event, they must inform the Seller before the start of the Event.
If the above is not notified, Mauna shall not be responsible, and both Mauna and the Seller reserve the right to deny their participation or cancel the reservation without any liability or obligation to refund.
Mauna informs the User that the Events offered may not be suitable for certain individuals, depending on various factors such as age, physical or psychological condition, mobility, disability, pregnancy, and/or any other condition, so it is the User's responsibility to review the itinerary and description of the Event, as well as to make any necessary inquiries with the Seller to assess their participation.
None of the provisions of these Terms and Conditions shall be interpreted as an obligation of Mauna to provide the Services, but rather Mauna will provide the Services as it sees fit.
c. Mauna will not be responsible for ensuring the availability of medical and/or emergency services at each location, so it is the User's responsibility to check their location and the services available near the corresponding location.
The Parties agree that contracting Events in no case includes the hiring of medical insurance, so it is the responsibility of the User and/or participants to arrange medical insurance if they deem it appropriate.
Mauna recommends that all participants consult their doctor, health personnel, and/or insurer before attending the Event.
Mauna shall not be responsible for any additional costs and/or expenses related to transportation, medical care, and treatment arising from any accidents suffered during the Events, therefore the User and/or participants assume total responsibility for such expenditures.
d. If the Event selected by the User corresponds to more than one participant, the Parties agree that the User shall be responsible for any damage and/or injury caused by and/or to such participants during the execution of the Event.
As a result of the above, it is the User's responsibility to provide all relevant information to the Seller regarding the individuals participating in the Event.
e. Mauna recommends that Sellers, if the Event entails any type of risk in its execution, provide all participants with a release of liability letter, via digital and/or physical means, which must be signed with name and signature by each of the participants. The User and/or participants agree and acknowledge that they will not be able to participate in the Events for any reason without having previously signed the release of liability letter if the Seller requests it.
f. Mauna will not be responsible for reserving any type of transportation for the Users, whether inbound or outbound to the Event destination. If the Seller offers such service as part of the Event, it will be the Seller's responsibility to arrange such reservations, releasing Mauna from any liability.
g. Mauna will not be responsible for any expense, cost, damage, or injury caused to the User and/or participants if they decide to leave the Event underway at their own risk.
h. The User and participants release Mauna from liability in case of any damage or injury caused by any third party with whom the Seller collaborates during the Event.
i. Mauna will not be responsible if additional costs and expenses are generated for the User and participants arising from participant delays that result in inefficiencies in any other service, arising from strikes, accidents, illnesses, damages, negligence, bad weather, war, and/or changes in itineraries.
j. The User releases Mauna from any liability arising from any type of non-compliance by the Seller in the execution of the Event.
k. Mauna will not be liable for any accidents or deaths directly or indirectly arising from the negligence of any of the participants, Users, or Sellers, or any act of third parties, or by fortuitous events or force majeure.
l. The User and/or Participant agrees to indemnify and hold Mauna harmless from any claims that may arise against it due to or in connection with any action or omission made by the Buyer, Seller, any User, and/or participant, including any non-compliance with these Terms and Conditions. As a result of the above, the User agrees to indemnify and exempt Mauna (including, but not limited to its respective shareholders, directors, managers, officers, representatives, agents, and employees) from any claim or demand (including attorneys' fees and legal costs), undertaking to compensate Mauna for any amounts incurred by these concepts.
17. Prohibitions.
a. False, Erroneous, and/or Misleading Information. Users accept and undertake to provide accurate, truthful, and non-misleading information regarding the Events marketed through the Platform. The publication of false, erroneous, or misleading information is strictly prohibited, including, but not limited to: (i) Descriptions of the Events; (ii) Rates and costs; (iii) Services included in the Event; (iv) Capacities and capabilities; (v) Location and availability.
b. Legality. Users expressly accept and acknowledge that the creation, promotion or provision of Events involving any type of illegal activity in any form is strictly prohibited. "Illegal" shall include all activities that violate local, national, or international laws, including, but not limited to: (i) Criminal activities; (ii) Violation of copyright and/or intellectual property rights; (iii) Explicit or illegal content; (iv) Drugs and controlled substances; (v) Discrimination and/or any hate speech.
Failure to comply with the aforementioned paragraphs may result in the temporary or permanent suspension of the User's account as well as the immediate termination of access to the Platform, at Mauna's discretion. Likewise, Mauna reserves the right to take any legal actions it deems appropriate against the User.
18. Intellectual Property.
The Platform and all rights related to it are the exclusive property of Mauna. No provision set forth in the Terms and Conditions, nor the use of the Platform grants or transfers any right over or in relation to the Platform.
All intellectual property rights related to the Services, including but not limited to, all patents, utility models, industrial designs, trademarks, trade notices, trade names, copyrights, trade secrets, know-how, technology, or any application for the registration of any of the above, as well as their registrations, permits, licenses, or any other right arising from the provision of the Services, are and will at all times be the property of Mauna. The Terms and Conditions do not grant the User, in any case, rights over Mauna's Intellectual Property.
The User using the Platform for marketing Events declares and guarantees that they are the legitimate owner of the intellectual property rights over the content provided for the publication of the Events on the Platform, or that they have the necessary rights and authorizations for its use. The User marketing Events grants Mauna a non-exclusive license to use such content for the purpose of promoting and selling the Events on the Platform.
19. Confidentiality.
All information provided by Users will be treated as confidential information and may not be disclosed without the User's consent. This confidentiality obligation will not cease due to the expiration, suspension, termination, or cancellation of these Terms and Conditions.
Access to such information will be granted to those employees, agents, or representatives of the Holder, as well as third parties with whom the Holder has a legal relationship for the fulfillment of obligations under these Terms and Conditions. However, the Holder may provide information upon a well-founded and motivated request from a competent authority.
20. Privacy.
The handling of personal data related to the purchase of Products will be governed by the provisions of the Holder's Privacy Notice, which is available at [*], in compliance with the provisions of the Federal Law on Protection of Personal Data Held by Private Parties, its Regulation, and other applicable legal provisions.
Consent for the processing of sensitive personal data will be obtained upon acceptance of these Terms and Conditions.
If the aforementioned Privacy Notice is not accepted, the User must not use the Platform nor acquire the Products offered there.
21. Modifications.
Mauna may modify the Terms and Conditions at any time, for which Mauna may notify Users through a publication on the Platform or via email about such modifications. Mauna will choose the means of notification to Users at its sole discretion, understanding that notification will be considered made when it is carried out by any of the means indicated in this paragraph. Notwithstanding the above, Mauna may publish the updates or modifications to the Terms and Conditions on the Platform, understanding that the mere use of the Platform implies the express acceptance by the User of any update or modification of the Terms and Conditions.
The last update of the Terms and Conditions occurred on the date indicated at the beginning of these Terms and Conditions.
If the User does not accept the modifications made to these Terms and Conditions, Mauna will cease to provide services to the User immediately.
22. Headings.
The User acknowledges that the headings of each of the clauses of these Terms and Conditions are for reference purposes only and do not affect the meaning or interpretation thereof.
23. Notifications.
All notices and/or communications between the User and the Holder will be in writing and must be sent by email to the following addresses:

24. Jurisdiction and Applicable Law.
For all matters relating to the interpretation and compliance of these Terms and Conditions, the parties hereby submit, expressly and irrevocably, to the applicable laws of the United Mexican States and the jurisdiction of the competent courts of Mexico City, United Mexican States, and waive, expressly and irrevocably, any other jurisdiction that may correspond to them by virtue of their present or future domiciles or for any other reason.
