Terms and Conditions
Maunify, S.A.P.I. de C.V. Last updated: 02/01/25 This contract describes the general terms and conditions (hereinafter referred to as the “Terms and Conditions”) that govern the use of the set of digital media made available to the users of the same (hereinafter referred to as the “Users”) by the company known as Maunify, S.A.P.I. de C.V. (hereinafter referred to as the “Holder”), through the Platform located at: https://mauna.mx and https://hub.mauna.mx/ (hereinafter referred to as the “Platform”). The Platform is called “Mauna”, and it can be accessed through any internet browser. Anyone wishing to access or use the Platform and/or any of the Services offered therein (as defined later), may do so subject to these Terms and Conditions. 1. General Data of the Holder Maunify, S.A.P.I. de C.V. is a legally constituted and validly existing society in accordance with the laws of the United Mexican States, fully authorized according to its corporate purpose to provide the services detailed in these Terms and Conditions. These Terms and Conditions are directed at clients of Maunify, S.A.P.I. de C.V. who use the Platform, and/or any other extension of the platform owned by Maunify, S.A.P.I. de C.V. 2. Definitions. Privacy Notice: Refers to the privacy notice of Mauna, drafted according to Article 28 of the Regulations of the Federal Law on Protection of Personal Data Held by Private Parties and Article Thirty-Eighth of the Guidelines for the Privacy Notice, by means of which the User expressly grants or denies consent to the processing of their personal data.Buyer. Refers to that User who uses the Platform to purchase one or more Events offered by Sellers.Account. Refers to the Account created by the User for the use of the Platform.Event. Refers to any experience, activity, event, or service that is offered, promoted, or marketed by the Seller and/or Mauna through the Platform.Mauna: The company known as Maunify, S.A.P.I. de C.V.Platform: Set of digital media, resources, and tools made available to the User to facilitate the promotion, acquisition, and management of Events, according to these Terms and Conditions.Parties: Refers collectively to Mauna and the User.Stripe: Payment processing platform used by Mauna and Users to conduct transactions related to the purchase and marketing of Events.Services. Refers to the services provided by Mauna according to Clause Four of these Terms and Conditions.User: Refers to any individual or entity that wishes to acquire rights and obligations with Mauna, derived from contracting any of the following Services: (i) the use of the Platform to acquire Events provided by Users; (ii) the use of the Platform to promote their Events to Users of the Platform, including but not limited to, Buyers and Sellers.Seller. Refers to that User who uses the Platform to promote, offer and/or market Events through it.Validity: Will be assigned the meaning indicated in point 9 of these Terms and Conditions. 3. Acceptance of Terms and Conditions. Access and/or use of the Platform, and/or any other extension of the platform owned by Mauna, implies acceptance by the User (as defined later) of all clauses and policies established in these Terms and Conditions. Furthermore, by using the Platform, the User will be communicating with Mauna through electronic means, thereby accepting to receive communications in this manner using various mechanisms such as: email, notices, phone calls, SMS[EG2] , WhatsApp (software provided by WhatsApp, LLC., hereinafter referred to as “WhatsApp”), as well as any other platform owned by Meta Platforms, Inc., including but not limited to, Facebook and Instagram; in light of the above, the User acknowledges that forms, contracts, notices, messages, as well as any type of notification and/or communication sent through electronic means fulfill any legal requirement and have full legal effects and validity. Anyone who does not accept these Terms and Conditions, which are mandatory and binding, must refrain from using the Platform, and/or any other extension of the platform owned by Mauna. 4. Services 4.1. Offering Services of Mauna. Maunify offers Users a range of services through its Platform, which includes, but is not limited to: a) Sale and Reservation of Events. Users can purchase or reserve Events offered by Sellers registered on the Platform. b) Pricing and Sale of Private Events. Specialized service to quote, customize, and manage the sale of Events designed exclusively for private groups, adjusting to the specific needs of the Buyer. c) Complementary Services. (Exclusive to Sellers) - Digital Marketing and Promotion: Tools and strategies to enhance the visibility of Events. - Photography and Video Services: Content capture to improve the promotion of Events. - Personalized Consulting: Specialized advice for planning, executing, and optimizing Events. d) Payment Management and Collections. Secure and transparent payment processing through Stripe. e) Calendar and Availability Management. (Exclusive to Sellers) Tools to manage available dates and times, including opening dates for general publics or private groups. f) Sales Tracking and Analysis. Dashboard and reports that allow Sellers to monitor the performance of their Events on the Platform. g) Promotions and Discounts. (Exclusive to Sellers) Setting up special offers, promotional codes, and dynamic pricing to increase Event bookings.4.1.1. Exclusive Services for Sellers. Some services of Mauna are available only to Sellers registered on the Platform, such as: Sales Tracking and Analysis, Promotions and Discounts, and Calendar and Availability Management.4.2. Scope of Services. Mauna acts solely as a digital intermediary, facilitating the interaction between Users (Buyers and Sellers) for contracting the aforementioned services. 4.3. Limitations of Liability. Mauna acts exclusively as an intermediary platform to facilitate the interaction between Users (Buyers and Sellers) for the purpose of promoting, marketing, and managing Events. By virtue of this function, Mauna assumes no responsibility and provides no guarantees regarding the quality, suitability, or execution of the Events offered through the Platform, beyond the proper management of the financial transaction. 4.3.1 Commitment to Quality. Mauna continuously works to maintain high standards in the User experience, including: a) Reviewing Seller profiles to ensure compliance with the requirements set forth by the Platform. b) Promoting clear and transparent practices in the creation and description of Events. c) Implementing policies aimed at resolving conflicts fairly and efficiently. d) Continuously evaluating the performance of Sellers to promote ongoing improvements in the quality of the Events offered. 4.3.2 However, Mauna does not guarantee: a) That the Event meets the specific expectations or needs of the Buyer. b) Perfect execution, punctuality, or according to what is announced by the Seller. c) The quality, safety, or legality of the Events provided by Sellers. 4.3.3 Limited Liability. The User agrees that any problems, breaches, or disputes related to an Event must be addressed directly between the Buyer and the Seller. Mauna shall not be liable for damages, losses, or expenses related directly or indirectly to the Event, including, but not limited to: a) Cancellations, modifications, or delays in the Events. b) Incorrect or incomplete information provided by the Seller. c) Damages or losses arising from conditions beyond Mauna's control, such as force majeure, technical failures, or acts of third parties.  Under no circumstances shall Mauna be liable for indirect, incidental, special, consequential, or punitive damages, even if it has been informed of the possibility of such damages. In the event of proven breach related to a transaction on the Platform, Mauna's maximum liability shall be limited to the amount effectively paid by the User through the Platform. 4.3.4 Complementary Services. For additional services offered through the Platform, such as marketing, photography, consulting, or space rental: a) Mauna seeks to ensure that Sellers meet adequate standards, but does not guarantee specific results derived from these services. b) Any agreement between the Buyer and the provider of complementary service shall be the sole responsibility of the involved parties. 4.3.5. Building Trust. Although Mauna cannot guarantee the suitability of Events or services, we are committed to: a) Providing a reliable Platform that facilitates transparency and trust among Users. b) Establishing and overseeing policies that promote good practices among Sellers. c) Assisting Users in the fair and reasonable resolution of disputes. Mauna offers a dedicated channel for dispute resolution, which includes mediation between Buyers and Sellers when necessary, always seeking a reasonable solution for both parties 5. Operation of the Platform. 5.1. Event Reservation. The process of reserving an Event on the Platform is designed to be intuitive and efficient, offering Buyers an interactive dashboard with various search options and customized filters. The steps to make a reservation are detailed below: (a) Search for Events. The Buyer can explore available Events on the Platform using filters such as categories, number of participants, price of the Event, or type of date (open to the public or reserved for private groups). (b) Event Selection. Once an Event of interest has been identified, the Buyer must select it to access a page with detailed information provided exclusively by the Seller, including, but not limited to: (i) General description of the Event; (ii) Services and products included; (iii) Detailed itinerary; (iv) General recommendations; (v) Important considerations for participants; (vi) Location and specific indications of the Event venue. Mauna is not responsible for the accuracy of this information, as its content is the sole responsibility of the Seller. (c) Event Reservation. To complete a reservation, the Buyer must: (i) Select the desired package (if applicable); (ii) Choose the date and time of the Event, subject to availability according to the calendar shown on the Platform; (iii) Indicate the number of participants; (iv) Proceed to payment and accept the Terms and Conditions of the Platform. After completing the process, the Buyer will receive a confirmation email with a summary of the purchase and the details of the reserved Event. (d) Communication about the Event. The Buyer acknowledges that Mauna acts solely as an intermediary and has no direct participation in the development or execution of the Event. For any questions, clarifications, or claims related to the Event, the Buyer must contact the Seller directly through the means provided on the Platform. (e) Acceptance of Seller's Terms and Conditions. By purchasing an Event, the Buyer accepts the terms and conditions established by the Seller. In case of contradiction between the Seller's terms and Mauna's Terms and Conditions, Mauna's terms shall prevail, except for the Seller's cancellation policy. 5.2. Sale of Events. In order for Users to create and publish Events through the Platform, Mauna offers a Seller Account, which provides access to comprehensive tools for creating, managing, and monitoring Events, as well as for tracking sales and accounting. The details of the process are as follows: a) Creation of Seller Account. The Seller must (i) Log in to the Platform and select the option "Sell experiences on Mauna". (ii) Request a demonstration call and choose the plan most suitable for their Events. (iii) Complete the registration form with the required information (iv) Accept Mauna’s Terms and Conditions. Seller account authorization will be subject to review by Mauna's team. (b) Plans. The plans available for Sellers offer different functionalities as outlined in Section 6.2.1. Plans and associated benefits may be modified by Mauna at any time, and changes will be notified through the Platform. (c) Creation of Events. Sellers can use tools in the Seller Dashboard to create and publish Events. To do so, they must: First, enter the “Experiences” section and select “+”. Second, include, but not limited to: (i) Name of the Event; (ii) Category; (iii) Prices and Packages; (iv) General Description; (v) Itinerary; (vi) Requirements; and (vii) Location of the Event. Finally, send the Event to Mauna's team for review and approval. Mauna may request adjustments or feedback before approving an Event to ensure it meets the Platform's standards. (d) Approval by Mauna. Mauna reserves the exclusive right to approve or reject the creation of the Seller Account and/or the publication of an Event. These decisions are final and made based on quality, alignment with the Platform standards, and other internal criteria. Mauna also reserves the right to close accounts or remove Events without prior notice if they do not comply with the Platform’s policies, even when they were previously approved. (e) Payments. To receive payments from the sale of Events, the Seller must register an account with Stripe, the payment processing system used by Mauna. Mauna is not responsible for technical issues, delays, or errors arising from the use of Stripe. (f) Seller’s Terms and Conditions. The Seller may publish specific terms and conditions for their Events, which must be included in the Event description. These terms cannot contradict Mauna’s Terms and Conditions, which shall prevail in case of conflict, except for the Seller’s cancellation policy. In the event of omission, Mauna’s Terms and Conditions will apply without liability to the Platform or to Buyers. 6. Consideration. 6.1. Reservation of Events. In case the User wishes to access and/or acquire any Event published on Mauna’s Platform, they must make the corresponding payment as follows: a) Price. The price that the Buyer must pay for each Event published on the Platform will be the one established by the Seller at the time of making the reservation, in accordance with Clause 5.1 of these Terms and Conditions. The price of each Event will vary at the discretion of the Seller, considering factors such as the type of Event, season, market conditions, demand, selected package, type of Event (public or private), and availability. All prices published on the Platform must include the Value Added Tax (VAT). It is the Seller's sole responsibility to set prices correctly and ensure compliance with applicable tax provisions. b) Payment Method and Place. Payment for acquiring an Event must be made exclusively through the Platform, which uses Stripe as the payment processing system. The Buyer must provide the information required for the payment method accepted by Mauna. - Accepted payment methods: Visa credit or debit cards, Mastercard, American Express, Apple Pay, and Google Pay. - Optionally, Mauna may accept payments via electronic transfer (SPEI), upon the Buyer’s request and approval by Mauna. Payment will be subject to verification and authorization by the issuing entity of the payment method. If not approved, Mauna and/or the Seller shall not be responsible for the lack of service provision of the Event. Furthermore, Mauna will not be responsible for technical errors, delays, or failures related to Stripe or other payment processors. c) Payment Timing. The Buyer must make the total payment at the time of reservation. Confirmation of the Event will only occur after the payment has been processed and approved. d) Secured Payment. Mauna will hold payments made by the Buyer until the Event has been completed, in accordance with the Platform's policies. Once the Event is completed, payment will be released to the Seller under the terms established in Section 6.2. e) Discount Codes. Mauna and/or Sellers may provide discount codes at their sole discretion. The codes will be valid only during the specified period and must be used in accordance with the provided instructions. Discounts are not cumulative unless otherwise indicated. Mauna reserves the right to establish additional restrictions on the use of discount codes. The application of discounts is at Mauna’s exclusive discretion and is not obligated to grant them in any case. 6.2. Sale of Events. 6.2.1. Seller's Plan. For the Seller to access the services for selling Events through the Platform, they must purchase one of the plans offered by Mauna. The details of the available plans, including prices, features, and conditions, will be published on the Platform (https://hub.mauna.mx/planes/) and can be consulted by Users at any time. The plans are subject to change, which will be notified to Users through the Platform. General Conditions: a) Automatic Renewal: Plans will automatically renew at the end of the corresponding period, unless the Seller requests cancellation of the plan before the renewal date. b) Cancellation of Plans: To cancel a plan, the Seller must send a request to the email address contacto@mauna.mx before the end of the current period. The cancellation will take effect at the end of the current period. c) Processing Fees: Plans may be subject to additional processing fees applicable to transactions made on the Platform. These fees will be published on the Platform, and the Seller must review and accept them when utilizing the services. d) VAT Included: The prices published on the Platform include the Value Added Tax (VAT), as stipulated by current legislation. Modifications to the Plans: Mauna reserves the right to modify the prices, features, or conditions of the plans at any time. Any changes will be communicated through the Platform and will be considered accepted upon continued use of the corresponding services. 6.2.2 Payments to Sellers. Mauna will process payment of the corresponding consideration to Sellers only after the Event has been executed in a timely manner and in accordance with the Platform's policies. Conditions for Payment Release: a) The Event must have been successfully completed as agreed between the Seller and the Buyer. b) There must be no open dispute related to the Event in question. c) The Seller must comply with the established requirements for invoicing and documentation, if applicable. The timelines for the release of payment will be specified on the Platform and may vary according to the plan contracted by the Seller. 6.2.3 Method and Place of Payment. Payments to Sellers for income obtained from the sale of Events will be made by electronic transfer to the Stripe account registered by the Seller at the time of creating their Seller Account. In case an invoice is required or when the Buyer has made the payment by bank transfer, Mauna may make payments to the Seller by direct bank transfer, provided that the Seller provides a valid bank account and the required information. General Conditions for Payments: a) All payments will be subject to deductions corresponding to processing fees and commissions, as specified on the Platform. b) Mauna is not responsible for delays or errors due to incorrect information provided by the Seller or technical issues with Stripe or other banking entities. c) Sellers are responsible for ensuring that their Stripe or bank accounts are active and meet the necessary requirements to receive payments.  6.2.4. Payment Processing Fees. The Seller agrees and acknowledges that each transaction made through Mauna will incur processing fees and commissions corresponding to the contracted plan. These fees are published on the Platform and apply at the time of the transaction. The total gross amount received from the sale of an Event will be subject to the deduction of these fees and commissions, which will be deducted before Mauna makes the payment to the Seller via Stripe or any other agreed method. Mauna is not responsible for discrepancies in the applied fees resulting from errors in the Seller's plan configuration or changes in the fees of external payment processors. It is the Seller's responsibility to periodically review the current fees on the Platform. 6.3. Invoicing. The User may request the issuance of invoices related to payments made, for which a written request must be sent to contacto@mauna.mx, providing complete tax information and any other required data. Conditions for Invoicing: a) Invoices will be sent to the registered email address of the User within a maximum period of 7 (seven) business days after receiving the request. b) The invoicing period will be limited to the month in which the payment was made. No retroactive invoices will be issued outside of this period. c) It is the User's responsibility to provide correct and up-to-date tax information. Mauna will not be responsible for errors arising from incorrect information provided by the User. 6.4. Price Changes. The User agrees and acknowledges that the compensations for the services, as well as the fees and commissions established in Clause 6.2, will be those published on the Platform at the time of contracting or corresponding transaction. Conditions for Price Changes: a) Prices and fees may be modified during the validity of the contract or provision of services. b) Mauna will notify the User of any price changes through the available means on the Platform. c) The User agrees that it is their responsibility to review the current prices and fees at the time of making a transaction. Validity of Changes: Any change in prices or fees will take effect from their publication on the Platform, unless a different date is indicated in the notification. Continued use of the services by the User will imply acceptance of such changes. 7. Availability. The acquisition of Events made available to the User through the Platform is subject to availability and existence of available spaces. In the event that the acquired Event is not available, the Seller reserves the right to cancel said purchase through the Platform, as well as refunding the amounts charged for the Event to the User. The Buyer acknowledges and agrees that any discount and/or price reduction regarding the contracted Event, which comes into effect after the time of contracting, will not apply retroactively. Furthermore, the Buyer acknowledges and agrees that Mauna will not be responsible for any additional charges incurred due to the applicable exchange rate at the time of purchase, as well as for any fees and/or commissions imposed by any intermediary in the payment process. 8. Cancellation and Refund Policies. The User agrees and acknowledges that all reservations made through the Platform will be subject to the cancellation and refund policies established by the Seller, as follows: 8.1. Seller’s Cancellation and Refund Policies. The Seller may establish clear and precise cancellation and refund policies, which must include at least: a) Specific timeframes for requesting cancellations and refunds. b) Applicable refund percentages according to the moment of cancellation. c) Conditions for no-show or late cancellations. The Seller's policies must be prominently published in the Event description, and the Seller will be obliged to comply with them once the Buyer accepts them when making the reservation. 8.2. Mauna's Default Policy. In the event that the Seller does not publish specific cancellation and refund policies, Mauna's default policy will apply: a) Cancellations made at least 48 (forty-eight) hours in advance of the Event date and time will be eligible for a refund of up to 100% (one hundred percent) of the consideration effectively paid by the Buyer. b) Cancellations made with less than 48 (forty-eight) hours' notice will be evaluated on a case-by-case basis to determine if they are eligible for a full, partial, or no refund. c) In case of no-show or cancellation without notice, no refund will be granted. 8.3. Procedure for Cancellations and Refunds. a) The Buyer must send a cancellation or refund request to the email contacto@mauna.mx or the email provided by the Seller, including the reason for cancellation and any additional information required. b) Approved refunds will be processed by Mauna through the Platform and will be made using the same payment method used for the reservation, within a period of 5 business days. 8.4. Force Majeure and Exceptions. In the event that the Event cannot take place due to force majeure circumstances (e.g., adverse weather conditions, natural disasters, government emergencies) or unforeseen interruptions, the Buyer may choose to: a) Reschedule the Event to a later date agreed with the Seller. b) Request a partial or full refund, depending on the case and at Mauna’s discretion. 8.5. Mauna's Exclusion of Liability. Mauna acts solely as an intermediary and is not responsible for the execution of the Event or for refunds that the Seller does not fulfill, unless the default policy of Mauna applies. 9. Account Use. To sell Events on the Platform, the User must register and maintain an active Account, providing personal information as required; this information will be used under these Terms and Conditions. To this end, the User acknowledges and agrees that, for using the Platform, they are solely responsible for the information provided and operations of the Account, such that Mauna will not be responsible for the accuracy of the information or operations occurring in the Account, and Mauna will not be liable in any way for the marketing of the Events and the use of the system if the User provides erroneous, false, incomplete, or outdated information. The User agrees to keep their username and password for their Account safe and confidential, and under no circumstances shall Mauna be responsible for the use of the username and password of the Account; therefore, the User will be responsible for the proper use of the Account and will be obliged to pay Mauna any damages, losses, expenses, or costs arising from the misuse of the Account. Mauna will not be responsible in any way if the User provides the required personal data for the provision of Services or contracts them if the User is not the holder of the same, nor for any misuse of the Platform or Services by the User. Mauna reserves the right to reject any Account request, cancel, or suspend an Account, without being obligated to communicate the reasons for doing so and without incurring any liability for Mauna. Users under 18 years of age may only use Mauna with the involvement and participation of one of their parents or guardians, who will act as their legal representatives, being responsible for any obligation and/or commitment they acquire with Mauna. 10. Validity. The provisions of these Terms and Conditions will remain valid as long as the User makes use of the Platform, and/or any other extension of the platform owned by Mauna and/or within the period during which the User has an active Account. Now, Mauna may terminate access to the Platform and/or the User's Account and the present Terms and Conditions regarding any User at any time unilaterally, without any responsibility for Mauna. 11. Platform Failures. Mauna is not responsible for any damage, loss, or harm to the User that may occur due to failures in the Platform, on the server, or on the Internet. Mauna will not be responsible for any virus that may infect the User's equipment as a result of accessing or using its website or any transfer of data, files, images, texts, or audio contained therein. The User may not hold Mauna liable or seek payment of any amount for damages, losses, or difficulties arising from technical difficulties or failures in Mauna's Platform or on the Internet. Mauna does not guarantee continued or uninterrupted access and use of the Platform, as it may eventually not be available due to technical difficulties, Internet failures, maintenance, or causes beyond Mauna's control; in such cases, efforts will be made to restore it as soon as possible, without any liability incurred by Mauna. Similarly, Mauna will not be responsible for any errors or omissions contained in the Platform. The Platform may contain links to third-party websites. In such cases, Mauna is not responsible in any way for the content, products, services, advertisements, or other information that may be provided by or through such sites or advertisements, or for their privacy policies or compliance with applicable legal provisions. Mauna will not be responsible for any failure in the Platform arising from non-compliance with operating systems, lack of Internet access, nor will the User fail to make the necessary updates. In the event of a malfunction or failure in the Platform, whether attributable to Mauna or not, the User must notify Mauna of the failure so that the latter can make the modifications necessary to resolve the failure or malfunction.  12. Questions, Suggestions, and Complaints. If the User has any questions, suggestions, or complaints regarding the Services offered by Mauna, they may communicate with their assigned advisor via WhatsApp messaging service, or to the following email address contacto@mauna.mx.   13. Termination. Mauna may cease to offer the Services or deny access to them and even terminate at any time the provisions set forth in these Terms and Conditions, without liability for Mauna. Upon termination, the User must cease to use the Platform. Notwithstanding the foregoing, the termination of the Terms and Conditions will not affect the rights and obligations arising before the termination date. Mauna may terminate these Terms and Conditions and restrict the User's use of the Platform in the event the User breaches any obligations stated in these Terms and Conditions. 14. Indemnity. The User agrees and undertakes to indemnify and hold Mauna harmless from any claim that may be made against it in connection with the use of the Platform. Therefore, the User agrees to indemnify and exempt Mauna (including, but not limited to, its respective shareholders, directors, managers, officials, representatives, agents, and employees) from any claim or demand (including legal fees and costs), undertaking to compensate Mauna for any amounts expended on these concepts. 15. Relationship. No provision in these Terms and Conditions constitutes any kind of partnership, association, business commission, or employment relationship between Mauna and the User. 16. Limitation of Liability. By accepting these Terms and Conditions, the User, whether a Seller or Buyer, releases Mauna from any liability incurred during the execution of the Event, in accordance with the following: a. The User, on their own behalf and on behalf of the other participants, accepts and acknowledges that Mauna only provides Users with the Platform to access the Services, thus will not be liable, and under no circumstances guarantees the content, quality, quantity, state, safety, suitability, integrity, or legitimacy of the Events. Consequently, Mauna will not be responsible for any damage, loss, or harm related to the quality, integrity, legitimacy, or any other similar cause concerning the Events. b. The User must provide the Seller with all medical and health information they deem relevant, both about themselves and the people participating in the Event at the time of making the reservation. Additionally, in the event of having any medical condition, illness, pregnancy, disability, or any other physical or mental condition that affects their ability to travel or participate in any Event, they must inform the Seller prior to the commencement of the Event. If the above is not notified, Mauna is not responsible, and both Mauna and the Seller reserve the right to refuse participation or cancel the reservation, without any liability or obligation of refund. Mauna informs the User that Events offered may not be suitable for certain people, depending on various factors such as age, physical or psychological condition, mobility, disability, pregnancy, and/or any other condition, thus it is the User's responsibility to review the itinerary and description of the Event, as well as to make any necessary inquiries to the Seller to assess their participation. None of the provisions in these Terms and Conditions can be interpreted as an obligation for Mauna to provide the Services, but rather Mauna will provide the Services as it considers appropriate. c. Mauna will not be responsible for guaranteeing the availability of medical and/or emergency services available in each location, so it is the User's responsibility to review their location and the services available near the corresponding location. The Parties agree that contracting Events under no circumstances includes contracting medical insurance, so it is the User and/or the participants' responsibility to obtain medical insurance if they deem it necessary. Mauna recommends that all participants consult their physician, health personnel, and/or insurer before attending the Event. Mauna will not be responsible for any additional costs and/or expenses related to transportation, care, and medical treatment resulting from any accident occurring during the Events, thus the User and/or participants assume full responsibility regarding such expenses. d. In the event that the Event selected by the User concerns more than one participant, the Parties agree that the User will be responsible for any damage and/or harm caused by and/or towards those participants during the execution of the Event. Consequently, it is the User's responsibility to provide all relevant information to the Seller regarding the individuals participating in the Event. e. Mauna recommends Sellers that, in the event the Event poses any type of risk in its execution, they provide all participants with a liability waiver letter, through digital and/or physical means, which must be signed with name and signature by each of the participants. The User and/or participants accept and acknowledge that they will not be able, under any circumstances, to participate in the Events without having previously signed the liability waiver if the Seller requests it. f. Mauna will not be responsible for reserving any type of transportation for Users, whether entering or leaving the Event destination. In case the Seller offers such service as part of the Event, it will be the responsibility of the Seller to manage those reservations, releasing Mauna from any liability. g. Mauna will not be responsible for any expense, cost, damage, or harm caused to the User and/or participants, in case they choose to leave the ongoing Event at their own risk. h. The User and the participants release Mauna from any liability in case of any damage or harm caused by any third party with whom the Seller collaborates during the Event. i. Mauna will not be responsible in case additional costs and expenses arise for the User and participants, arising from delays that lead to inefficiencies in any other service, due to strikes, accidents, diseases, damages, negligence, bad weather, war, and/or changes in itineraries. j. The User releases Mauna from any type of liability arising from any breach by the Seller in executing the Event. k. Mauna will not be responsible for any accident or death resulting directly or indirectly from the negligence of any participants, Users, or Sellers, or any acts of third parties or fortuitous events or force majeure. l. The User and/or Participant agrees to indemnify and hold Mauna harmless from any claim that may be made against it due to or in connection with any action or omission by the Buyer, the Seller, any User, and/or participant, including any default of these Terms and Conditions. Accordingly, the User agrees to indemnify and exempt Mauna (including, but not limited to, its respective shareholders, directors, managers, officials, representatives, agents, and employees) from any claim or demand (including legal fees and costs) committing to compensate Mauna for any amounts spent on these concepts.  17. Prohibitions. a. False, Erroneous, and/or Deceptive Information. Users agree and undertake to provide accurate, truthful, and non-deceptive information regarding the Events marketed through the Platform. The posting of false, erroneous, and/or misleading information is strictly prohibited, including, but not limited to: (i) Descriptions of the Events; (ii) Rates and costs; (iii) Services included in the Event; (iv) Capacities and competencies; (v) Location and availability. b. Legality. Users expressly accept and acknowledge that the creation, promotion, or provision of Events involving any type of illegal activity in any form is strictly prohibited. "Illegal" will be understood as all activities that violate local, national, or international laws, including but not limited to: (i) Criminal activities; (ii) Violation of copyright and/or intellectual property rights; (iii) Explicit or illegal content; (iv) Drugs and controlled substances; (v) Discrimination and/or any hate speech. Violation of the provisions in the previous paragraphs may result in the temporary or permanent suspension of the User's account, as well as the immediate termination of access to the Platform, at Mauna's discretion. Mauna also reserves the right to take any legal actions it deems appropriate against the User. 18. Intellectual Property. The Platform and all rights related to it are the exclusive property of Mauna. No provision in the Terms and Conditions or the use of the Platform grants or transfers any rights over or in relation to the Platform. All rights of intellectual property related to the Services, including but not limited to, all patents, utility models, industrial designs, trademarks, trade notices, trade names, copyrights, industrial secrets, know-how, technology, or any application for the registration of any of the above, as well as their records, permits, licenses, or any other rights derived from the provision of the Services, are and shall be at all times the property of Mauna. The Terms and Conditions do not grant the User any rights over Mauna's Intellectual Property under any circumstances. The User who uses the Platform for the marketing of Events declares and guarantees that they are the legitimate holder of the intellectual property rights to the content provided for the publication of Events on the Platform or that they have the necessary rights and authorizations for their use. The User marketing Events grants Mauna a non-exclusive license to use such content for the purpose of promoting and selling the Events on the Platform. 19. Confidentiality. All information provided by Users will be treated as confidential and may not be disclosed without the User's consent. This confidentiality obligation shall not cease due to the expiration, suspension, termination, or rescission of these Terms and Conditions. Those employees, agents, or representatives of the Holder, as well as third parties with which the Holder has a legal relationship to fulfill obligations under these Terms and Conditions shall have access to such information. However, the Holder may provide information through a founded and motivated request from a competent authority. 20. Privacy. The processing of personal data that occurs in connection with the purchase of Products will be governed by the provisions of the Holder's Privacy Notice, which is available at [*], in compliance with the provisions of the Federal Law on Protection of Personal Data Held by Private Parties, its Regulations, and other applicable legal provisions. Consent for the processing of sensitive personal data will be obtained at the moment of accepting these Terms and Conditions. If the mentioned Privacy Notice is not accepted, the User should not use the Platform nor acquire the Products offered there. 21. Modifications. Mauna may modify the Terms and Conditions at any time, for which Mauna may inform Users through a publication on the Platform or via email regarding such modifications. Mauna will choose the means of notification to the Users at its sole discretion, understanding that the notification will be deemed made when carried out through any of the means indicated in this paragraph. Notwithstanding the foregoing, Mauna may publish updates or modifications to the Terms and Conditions on the Platform, understanding that the mere use of the Platform implies the User's express acceptance of any updates or modifications to the Terms and Conditions. The last update of the Terms and Conditions occurred on the date indicated at the beginning of these Terms and Conditions. In case the User does not accept the modifications made to these Terms and Conditions, Mauna will cease to provide services to the User immediately. 22. Headlines. The User acknowledges that the headings of each of the clauses of these Terms and Conditions are for reference purposes only and will not affect the meaning or interpretation of them. 23. Notifications.
